The Board is responsible for governance of the Winnipeg Art Gallery. This entails ultimate responsibility for the following: establishment of goals and policy; ensuring adequate financial support for Gallery operations (Fiduciary Responsibility); long-range planning and development; hiring of the Director; public and private promotion of the Gallery; and Board self-study and evaluation.

To fulfil these responsibilities, the Board has various committees. The committee names and organizational structures have changed somewhat over the years, however, the functions have remained relatively consistent. Currently, the committees are known as Development Committee, Associates Committee, Building Stewardship Committee, Finance and Audit Committee, Governance and Nominating Committee, Human Resources Committee, and Works of Art Committee.

Currently, the Board is composed of 15-20 individuals elected at the Annual General Meeting from among gallery membership for a term of 3 years. Five Board members are appointed (1 by City Council, up to 3 by Lieutenant-Governor-in-Council, President of the Volunteer Committee). The Board meets no less than four times each year.
